Freedom Holding Corp. Announces Changes in the Board of Directors

Freedom Holding Corp. announces the expansion of the Board of Directors (BoD) to seven members. The new members are Andrew Gamble, Philipp Vogeler, and Kairat Kelimbetov.

Timur Turlov, Chairman of the Board of Directors and Chief Executive Officer of Freedom Holding Corp., stated:
“We continue to expand our global presence. Each jurisdiction has its regulatory requirements and legislative differences. Therefore, we decided to enhance the expertise of our existing BoD by inviting professionals with diverse experience in leading international companies, deep and varied knowledge in global operational activities and management, as well as know-how in global strategic positioning. I am confident that the expertise of the new board members will help us develop our current activities and open new business horizons, and each of them will make a significant contribution to the long-term success of the holding.”

Additionally, a new position of Executive Director for Legal Affairs has been approved, effective May 28, 2024. Jason Kerr, formerly a member of the Board of Directors, has been appointed to this position. Jason Kerr will be responsible for creating a unified legal structure within the holding company to improve coordination on compliance issues across various jurisdictions where the holding operates.

Andrew Gamble. Mr. Gamble’s nearly 50-year legal and consulting career includes work in Asia, Africa, South America, and Europe. He has led groups working on behalf of the governments of Sierra Leone, Guyana, Mozambique, and Ethiopia. As a partner at Hogan Lovells, he provided banking advisory and financial transaction structuring services for numerous international organizations in the Middle East and CIS, including Kazakhstan. With extensive experience in the financial sector, he was invited by the British government to advise on the securitization of loans worth over £2 billion granted to the UK’s higher education sector. Currently, Mr. Gamble works as an independent consultant on corporate, legal, and financial matters, including serving as an independent director on several boards. He is a board member of Africa Credit Opportunities Limited and Chairman of the Board of Directors at Grata International, and recently stepped down from the board of Zenith Bank (UK) Limited.

Philipp Vogeler. Specializes in establishing partnerships between corporations, government bodies, and international organizations. He has lived in 10 countries, worked with over 100 companies, and led teams ranging from one to over 3,000 people. Mr. Vogeler began his career consulting companies such as Telenor, Bertelsmann, and Orange for Deloitte, before moving to various operational positions at mobile operators Orange and Ooredoo in Europe and Asia, and the Middle East.

In early 2012, he joined Vodafone Group, initially negotiating as a corporate diplomat, then working on projects including investment partnerships with major multinational corporations; global mobile network operators; government bodies in Europe and Africa, and the Middle East. He also collaborated with international organizations such as British International Investment, European Investment Bank, World Bank Group, U.S. International Development Finance Corporation, and U.S. Agency for International Development. Recent successes include various deals in Europe, new mobile licenses in the Middle East and Africa, securing significant government subsidies to support the creation of R&D centers in Spain and Germany, and the largest deal between Vodafone and the World Bank Group. He currently advises a small number of companies as a non-executive director, teaches in an MBA program, and supports various international charities, including Global Citizen. Currently, he works at the Japanese company Sumitomo.

Kairat Kelimbetov. Holds a master’s degree from the University of Cambridge, a doctorate in economics, and a bachelor’s degree in computational mathematics and cybernetics from Moscow State University. He studied at the National Higher School of Public Administration in Almaty, Harvard Kennedy School, and Georgetown University’s School of Foreign Service. He is an Honorary Professor at Tsinghua University in Beijing and an Honorary Doctor of International Relations at the Geneva School of Diplomacy and International Relations. He has over 30 years of experience in leadership positions in government bodies and companies, as well as on various boards.

Former governor of the Astana International Financial Centre (AIFC). He has led the Agency for Strategic Planning and Reforms, the National Bank of the Republic of Kazakhstan, the Ministry of Economic Development and Trade, the Ministry of Economy and Budget Planning, and the Administration of the President of Kazakhstan. As Chairman of the Board, he led the Kazyna Sustainable Development Fund and the Samruk-Kazyna National Welfare Fund.
